Terms of Service
The rules of the road for partners using partners.quibity.com. Short enough to read; specific enough to mean something. These terms sit on top of any separate commercial agreement we have with you.
These pages are a working draft pending review by Quibity's legal team. They will change before launch.
1. About these terms
These terms govern your use of the Quibity partner portal at partners.quibity.com (the "Portal"). The Portal is operated by Magic Srl on behalf of Quibity Srl, both established under the law of the Republic of San Marino. By opening an account you agree to these terms. If you do not agree, do not use the Portal.
2. Who can sign up
You must be at least 18 years old, have the authority to bind the business you represent, and be based in a country where we can legally offer partner services. We may refuse or close any account at our discretion, including where we reasonably believe signup details are inaccurate, incomplete, or misleading.
3. Accounts and security
You are responsible for everything that happens under your account. Keep credentials private, rotate any API keys you issue, and tell us without delay if you suspect unauthorised access. We may suspend an account temporarily where we believe prompt action is needed to protect the Portal or other partners.
4. Use of the Portal
Use the Portal only for the partnership you signed up for. Do not attempt to reverse-engineer our systems, scrape data that is not yours, or probe the service for vulnerabilities outside a coordinated disclosure. Stress-testing or load-testing the API in production requires written consent from us.
5. Partner obligations
You will present Quibity-issued eSIMs accurately to your own customers, honour local consumer-protection law, and not advertise coverage or pricing that differs from what the Portal exposes. Where you collect payments from end-customers on our behalf, you will remit them on the agreed schedule.
6. Fees and commissions
Pricing, commissions, and payout schedules are defined per-partnership inside the Portal. We may update them on reasonable notice; material changes will be emailed to the billing contact on file. Invoices are issued in EUR by default; alternative currencies are available by request.
7. Data
Both parties act as independent controllers for the personal data they collect through the partnership. Our handling of end-user data is described in the Privacy Notice. Where you process Quibity end-user data on our behalf (for example, inside an employee-eSIM fleet) a separate data-processing addendum applies.
8. Termination
Either of us may close the partnership on 30 days written notice. We may terminate sooner for a material breach, failure to pay, prolonged inactivity, or where required by law. On termination, your access to the Portal ends; outstanding invoices remain due; data-retention rules in the Privacy Notice apply.
9. Liability
Neither of us is liable for indirect or consequential losses, lost profits, or reputational damage. Our total liability to you in any 12-month period is capped at the fees payable under the partnership in that period. Nothing in these terms limits liability for fraud, gross negligence, or anything the law says we can't exclude.
10. Governing law
These terms are governed by the law of the Republic of San Marino. Disputes arising from or in connection with them are subject to the exclusive jurisdiction of the courts of San Marino, without prejudice to any mandatory consumer-protection rules that apply to your business.
11. Changes
We may update these terms. Non-material edits (typos, clarifications) take effect immediately. Material changes will be emailed to the primary contact on file at least 30 days before they apply. Your continued use of the Portal after that date means you accept the updated terms.
